This document outlines the Service Agreement and User Terms for LogMyPrice. By activating our software, registering an account, or interacting with our tools, you acknowledge that you have read and consent to these binding conditions.
1. Eligibility and Agreement
To enter into this contract with LogMyPrice, you must:
- Be at least 18 years of age (or have verified parental/guardian consent).
- Possess the legal authority to enter into a binding agreement.
- Comply with any additional guidelines or site-specific rules we publish, which are considered part of this main agreement.
2. Usage License (The "Standard Access")
We grant you a limited, non-exclusive, and revocable license to install LogMyPrice tools on your digital properties.
- Single Domain: Unless your Purchase Order (PO) states otherwise, one license covers one website.
- No Ownership: This is a service license, not a sale of software. You do not own the underlying code or intellectual property.
- Restrictions: You are strictly prohibited from:
- Reverse engineering or attempting to extract our source code.
- Sublicensing or "renting" your access to third parties.
- Using LogMyPrice branding/logos without our written approval.
- Modifying or creating derivative versions of our tools.
3. Our Services
LogMyPrice provides tools designed to assist in pricing history transparency.
- Provides historical data of the product prices in a graph format for the site visitor.
- Provides historical data of the product prices in a CSV format for the site owner.
- Provides a Widget that shows that the site has implemented this service
4. Financial Terms & Subscriptions
- Currency: All transactions are in USD unless specified.
- Auto-Renewal: Your plan will renew automatically at the end of each 30 days, you have the option to cancel the renewal on Shopify, following Shopify cancellation terms.
- Refund Policy: We offer a 14-day satisfaction window. No refunds are issued after this period.
5. Risk & Liability Disclaimers
Please read this carefully:
- "As-Is" Basis: LogMyPrice does not guarantee that our tools will make your site 100% immune to lawsuits or errors. Use of the service is at your own risk.
- No Legal Advice: Our support team and documentation do not constitute legal counsel.
- Liability Cap: In any legal event, LogMyPrice’s total liability is limited to the amount you paid us during the six months prior to the claim (or a maximum of $100).
- Indemnification: You agree to defend and hold LogMyPrice harmless from any third-party claims resulting from your misuse of the service or violations of privacy laws.
6. Marketing & Feedback
- Promotion: You grant LogMyPrice the right to use your name and logo in our marketing materials to identify you as a client.
- Intellectual Property of Ideas: Any feedback, bug reports, or feature requests you submit become the exclusive property of LogMyPrice without compensation to you.
7. Dispute Resolution (Arbitration)
Any conflict that cannot be resolved informally will be settled through binding arbitration via the Hong Kong Arbitration Association (AAA) in Hong Kong.
- No Jury Trials: You waive your right to a court trial.
- No Class Actions: You must resolve disputes on an individual basis and cannot participate in a class-action lawsuit.
- Governing Law: These terms are governed by the laws of Hong Kong.
